01 Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "Merchant", "user") and Kayroo ("Kayroo", "we", "us") governing your access to and use of the Kayroo platform, dashboard, storefronts, APIs and related services (the "Services").
By creating an account, accessing or using the Services, you accept these Terms, our Privacy Policy, Acceptable Use Policy and the other documents referenced here. If you do not agree, do not use the Services.
Kayroo operates as an electronic-commerce intermediary within the meaning of Algerian Law No. 18-05 of 10 May 2018 on electronic commerce.
02 Eligibility & accounts
You must be at least 18 years old and legally able to enter into a contract. If you use the Services on behalf of a business, you represent that you are authorised to bind that business.
You are responsible for the accuracy of your registration details, for keeping your password confidential, and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
03 The Services & "as is" basis
Kayroo provides hosted online-store creation, catalog, order, delivery-integration, marketing and related tools on a subscription or pay-as-you-go basis. We may add, change, suspend or remove features at any time.
The Services are provided on an "as is" and "as available" basis. We do not warrant that they will be uninterrupted, error-free, or fit for a particular purpose, to the maximum extent permitted by law.
04 Fees, billing & taxes
You agree to pay all fees for your selected plan or metered usage, in Algerian Dinars, as shown on the Billing page. Pay-as-you-go balances are consumed as you use chargeable features.
Unless stated otherwise, fees are non-refundable except where required by law or by our Refund Policy. You are responsible for any taxes, duties or levies arising from your use of the Services other than taxes on our income.
We may change pricing prospectively; continued use after a price change that takes effect on renewal constitutes acceptance.
05 Your content & licence to us
You retain ownership of the content you upload (products, images, text, logos — "Merchant Content"). You grant Kayroo a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt and display Merchant Content solely to operate and improve the Services for you.
You represent that you own or have the rights to your Merchant Content and that it does not infringe any third-party right or breach any law.
06 Kayroo intellectual property
The Services, including the platform software, templates, design system, trademarks and documentation, are owned by Kayroo or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable licence to use them for your store during your subscription.
You may not copy, resell, reverse-engineer, scrape, or create derivative platforms from the Services except as expressly permitted.
07 Merchant responsibilities — you are the seller
Kayroo is a software-as-a-service provider only. We provide the tools to build and run an online store; we do not sell, ship, stock or handle any product, and we are never a party to a sale. You — the Merchant — are the sole seller of record to your customers.
You are solely responsible for everything related to your e-commerce activity, including: your products and their legality; prices, descriptions and images; order processing and fulfilment; delivery and shipping; returns, exchanges and refunds to your customers; warranties and after-sales service; customer service and complaints; invoicing and the collection and remittance of all taxes and duties on your sales; and compliance with all consumer-protection and e-commerce law (including Laws 18-05 and 09-03), including publishing your own store legal pages and displaying your trade identity (RC, NIF, NIS).
Kayroo bears no responsibility or liability for your products, delivery, returns, refunds, warranties, taxes, or any dispute with a customer. Any claim a customer has regarding a purchase is against you, the Merchant — not Kayroo.
08 Third-party services
The Services integrate with third parties (e.g. delivery carriers such as Yalidine, payment gateways, advertising and analytics providers, AI providers). Your use of those services is governed by their own terms, and we are not responsible for them.
09 Suspension & termination
You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms or the law, fail to pay, or create risk or legal exposure for us or others.
On termination your right to use the Services ends. We may delete your data after a reasonable period in line with our Privacy Policy and applicable retention law. Sections that by their nature should survive (fees owed, IP, disclaimers, liability, indemnity, governing law) survive termination.
10 Disclaimers & limitation of liability
To the maximum extent permitted by Algerian law, Kayroo is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, data, goodwill or business interruption, arising from or related to the Services.
Our total aggregate liability for any claim relating to the Services is limited to the amount you paid to Kayroo for the Services in the three (3) months preceding the event giving rise to the claim.
11 Indemnification
You agree to indemnify and hold harmless Kayroo, its officers, employees and partners from any claim, loss, liability or expense (including reasonable legal fees) arising out of your Merchant Content, your products, your breach of these Terms, or your violation of any law or third-party right.
12 Changes to the terms
We may update these Terms from time to time. Material changes will be notified through the dashboard or by email. Continued use after changes take effect means you accept the updated Terms.
13 Governing law & disputes
These Terms are governed by the laws of the People's Democratic Republic of Algeria. The parties will first seek to resolve any dispute amicably; failing that, disputes fall under the exclusive jurisdiction of the competent Algerian courts of Kayroo's registered seat.
